1. Acceptance of Terms

These Terms & Conditions ("Terms") govern access to and use of www.inexusconsultants.com (the "Website") and the engagement of any consultancy, advisory, documentation, licensing, or allied services offered by INEXUS CONSULTANTS, trading as "I-NEXUS" ("INEXUS", "we", "our", or "us"). By accessing the Website, submitting an enquiry, or engaging our services, you ("Client", "User", or "you") agree to be bound by these Terms. If you do not agree, please discontinue use of the Website and refrain from engaging our services.

2. About INEXUS Consultants

INEXUS is a private business, legal, and regulatory consultancy operating as a sole proprietorship under the trade name "INEXUS CONSULTANTS". INEXUS is not a government department, statutory authority, regulator, or agency of the Government of India or any State Government, and does not represent itself as such. INEXUS assists clients with documentation, applications, registrations, licensing, and compliance across regulatory, corporate, and allied legal domains, delivered through our in-house team and a network of empanelled Chartered Accountants, Company Secretaries, Advocates, and other qualified professionals.

3. Nature and Scope of Services

Depending on the engagement, our services may include, without limitation:

  • Import-Export regulatory support: IEC Registration, LMPC (Importer Registration and Section 19 approvals), Customs & Port Clearance, Documentation Support for Customs, Phytosanitary Certification
  • Licensing & certifications: BIS Certification, WPC/ETA Approval, FSSAI Licensing, APEDA/RCMC Registration, Drug & Pharma Licensing
  • Environmental compliance: Extended Producer Responsibility (EPR) registration and compliance for plastic, e-waste & battery, tyre, and used-oil categories
  • Corporate and secretarial services: Company Incorporation, GST Registration & Returns, Trademark & IPR filings, entity incorporation, registered office and secretarial support, professional directorship, entity health checks, NBFC registration
  • Regulatory and business advisory: Business Setup Consultancy, Regulatory Compliance Advisory, Import-Export Trade Advisory, CSR Advisory, POSH policy and training
  • International compliance facilitation: US FDA registration support, GACC (China) registration support, and similar cross-border regulatory filings
  • Legal advisory and litigation-support in domains such as arbitration, criminal matters, cyber crime, insolvency and banking recovery, labour & employment, real estate, family disputes, and GST litigation

The precise scope, deliverables, timelines, and fees for any specific assignment will be set out in a written proposal, engagement letter, quotation, or invoice ("Engagement Document"), which forms part of, and is read together with, these Terms. In case of conflict, the Engagement Document prevails over these general Terms for that assignment.

4. Litigation and Advocate-Led Matters

INEXUS, as a consultancy, does not itself hold a right of audience before courts, tribunals, or quasi-judicial forums, and does not "practice law" as an entity. Where an assignment involves litigation, court representation, drafting of pleadings, or advice requiring an enrolled advocate, such work is undertaken directly by independent, empanelled Advocates in their individual professional capacity, bound by the Advocates Act, 1961 and the Bar Council of India Rules. In such matters, INEXUS's role is limited to coordination, documentation support, and client liaison unless expressly agreed otherwise in writing. No attorney-client privilege or advocate-client relationship is created with INEXUS as an entity; any such privilege, where applicable, subsists between the Client and the individual Advocate instructed.

5. Engagement of Services

A binding engagement for any assignment is formed only upon:

  • Client's written acceptance of our proposal, quotation, or engagement letter (including acceptance by email or digital confirmation); and
  • Payment of the agreed advance or retainer, where applicable.

Until both conditions are met, no obligation arises on INEXUS to commence work, and any preliminary discussion, estimate, or informal advice shared prior to formal engagement is provided on a non-binding, without-liability basis.

6. Client Obligations

The Client agrees to:

  • Provide accurate, complete, and timely information, documents, and instructions required for the assignment
  • Promptly respond to requests for clarification, signatures, or additional documentation
  • Ensure that all documents and representations furnished to INEXUS are true, valid, and lawfully obtained
  • Comply with applicable laws in the underlying business activity for which our services are engaged; and
  • Make payments in accordance with the agreed fee schedule

INEXUS shall not be liable for delays, rejections, or adverse outcomes arising from incomplete, inaccurate, or delayed information or documentation furnished by the Client.

7. Professional Fees, Payment Terms & Taxes

Fees may be structured as fixed fees, milestone-based fees, retainers, or hourly rates as specified in the applicable Engagement Document. Unless otherwise agreed:

  • Invoices are payable within the timeline stated on the invoice, and in the absence of a stated timeline, within 7 days of the invoice date
  • Government fees, statutory duties, stamp duty, and third-party charges are payable in addition to our professional fees and are typically payable in advance
  • All fees are exclusive of applicable GST and other taxes, which shall be charged additionally as per prevailing rates
  • INEXUS reserves the right to suspend or discontinue work on any assignment where payment remains outstanding beyond the agreed timeline, after prior written notice

8. Government Timelines, Discretion & Outcomes

INEXUS facilitates applications, filings, and registrations before various government departments, regulators, and statutory bodies. Processing timelines, queries, and final approval, rejection, or modification of any application rest solely with the concerned government authority and are outside INEXUS's control. INEXUS does not guarantee any specific outcome, approval, timeline, or result, and makes no representation that any application will be approved or approved within a particular time frame.

9. Confidentiality

INEXUS shall keep all non-public business, financial, and personal information shared by the Client confidential, and shall use it solely for the purpose of rendering the engaged services, except where disclosure is (a) required by law, court order, or a competent regulatory/government authority, (b) necessary to empanelled professionals or service providers strictly for performance of the assignment, or (c) authorised in writing by the Client. This obligation survives completion or termination of the engagement, subject to applicable statutory retention and disclosure obligations.

10. Intellectual Property

All content on the Website, including text, graphics, logos, the "INEXUS" and "I-NEXUS" names and marks, and templates, is the property of INEXUS CONSULTANTS or its licensors and is protected under applicable intellectual property laws. Deliverables prepared specifically for a Client under a paid engagement (e.g., drafted applications, policies, or reports) may be used by the Client for its own internal business purposes upon full payment of fees, but underlying templates, formats, and methodologies remain the intellectual property of INEXUS and may not be resold, redistributed, or used to build a competing service offering without written consent.

11. Data Protection and Privacy

Personal data and documents shared with INEXUS are collected, used, and protected in accordance with our Privacy Policy, available at www.inexusconsultants.com/privacy-policy.html, and applicable Indian data protection law, including the Digital Personal Data Protection Act, 2023 and rules made thereunder. The Privacy Policy is incorporated into these Terms by reference.

12. Limitation of Liability

To the maximum extent permitted by law:

  • INEXUS's total aggregate liability arising out of or relating to any assignment shall not exceed the professional fees actually paid by the Client for that specific assignment
  • INEXUS shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, business, or goodwill
  • INEXUS shall not be liable for acts, omissions, delays, or decisions of government departments, banks, regulators, courts, or third parties
  • Nothing in these Terms limits liability that cannot lawfully be excluded or limited under applicable Indian law

13. Indemnification

The Client agrees to indemnify and hold harmless INEXUS, its proprietor, employees, and empanelled associates against any claims, losses, penalties, or expenses arising from inaccurate information or documents furnished by the Client, the Client's non-compliance with applicable law, or the Client's misuse of any deliverable provided by INEXUS.

14. Refunds and Cancellation

Government fees, statutory charges, and third-party costs paid on the Client's behalf are non-refundable once remitted to the concerned authority. Professional fees for work already performed are non-refundable. Where an assignment is cancelled by the Client before substantial work has commenced, any refund of unutilised advance (net of costs already incurred) shall be at INEXUS's discretion and as specified in the applicable Engagement Document.

15. Termination of Engagement

Either party may terminate an ongoing engagement by providing written notice, subject to payment of fees for work performed and costs incurred up to the date of termination. INEXUS may terminate or suspend an engagement immediately where the Client provides false information, fails to make payment, engages in unlawful conduct, or where continuing the assignment would place INEXUS or its associates in breach of law or professional obligations.

16. Force Majeure

INEXUS shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, government action, regulatory shutdowns, strikes, internet or systems failure, or other events of force majeure.

17. Website Terms of Use

The Website and its content are provided for general informational purposes only and do not constitute legal, tax, or professional advice. You agree not to: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorised access to our systems; (c) copy, scrape, or reproduce Website content for commercial use without permission; or (d) upload harmful code or content. INEXUS may modify, suspend, or discontinue the Website, in whole or part, at any time without notice.

18. Third-Party Links

The Website may contain links to third-party websites (including social media platforms and client/partner websites) for convenience. INEXUS does not control and is not responsible for the content, accuracy, or privacy practices of such third-party sites.

19. Disclaimer of Warranties

Services and Website content are provided on an "as is" and "as available" basis. To the extent permitted by law, INEXUS disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, or fitness for a particular purpose. Information on the Website is for general awareness and should not be relied upon as a substitute for specific professional advice tailored to your circumstances.

20. Grievance Redressal

Clients or Website users with a grievance regarding our services or these Terms may write to our designated Grievance Officer at the contact details below. We aim to acknowledge grievances within 48 hours and resolve them within 30 days. Matters concerning individually engaged Advocates may separately be raised with the concerned State Bar Council.

21. Dispute Resolution and Governing Law

These Terms and any dispute arising out of or in connection with the Website or any engagement with INEXUS shall be governed by the laws of India. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator, in accordance with the Arbitration and Conciliation Act, 1996, seated in Delhi, India, with proceedings conducted in English. Subject to the arbitration agreement, the courts at Delhi, India shall have exclusive jurisdiction.

22. International Clients

For clients located outside India engaging INEXUS for cross-border or foreign-regulatory support (such as US FDA or GACC China registrations), these Terms continue to apply and are governed by Indian law notwithstanding the client's location. Clients are responsible for ensuring their own compliance with export control, sanctions, and local laws applicable to them; INEXUS's role is limited to the specific facilitation services agreed in the Engagement Document.

23. Amendment of Terms

INEXUS may revise these Terms from time to time by posting an updated version on the Website with a revised "Last Updated" date. Continued use of the Website or services after such changes constitutes acceptance of the revised Terms. Material changes affecting an ongoing engagement will be communicated to the Client directly.

24. Severability

If any provision of these Terms is held invalid or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

25. Notices

All formal notices to INEXUS shall be sent in writing to the address or email below. Notices to the Client shall be sent to the contact details last provided by the Client.

26. Entire Agreement

These Terms, together with the applicable Privacy Policy and any Engagement Document for a specific assignment, constitute the entire agreement between the Client and INEXUS with respect to their subject matter, superseding all prior discussions or representations not recorded in writing.

28. Acknowledgment

By using this Website or engaging INEXUS's services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
